1. Overview of the Zenova Focus Program

Zenova Focus operates a platform that connects students and remote workers with private productivity studios located near college campuses.

Hosts provide a suitable location for a Zenova Focus studio, and Zenova provides:

• the studio concept and system
• the online booking platform
• marketing and promotion
• payment processing
• customer reservations

Customers reserve studio sessions through the Zenova Focus platform.

Hosts earn a revenue share from bookings made at their location.

2. Host Eligibility

To qualify as a Zenova Focus host, applicants must:

• own or have permission to use the property where the studio will be located
• provide a safe and accessible location for the studio
• comply with local rules and property regulations
• maintain reasonable access to the studio location for customers

Zenova reserves the right to approve or deny host applications at its discretion.

3. Studio Installation and Location

Zenova Focus studios are designed for compact placement in outdoor residential spaces such as:

• backyards
• side yards
• patio areas

Hosts are responsible for ensuring that the property allows placement of the studio.

Zenova may provide guidance regarding placement and installation.

4. Booking Platform and Customer Management

All reservations for Zenova Focus studios are managed through the Zenova Focus platform.

Zenova is responsible for:

• listing studios on the platform
• handling bookings
• processing payments
• managing customer reservations

Hosts are not required to manage customer scheduling.

5. Revenue Share

Zenova Focus operates under a revenue-sharing model.

During the early phase:

Host receives 80% of booking revenue
Zenova Focus receives 20% platform fee

Once the host recovers the initial studio investment:

Host receives 70% of booking revenue
Zenova Focus receives 30% platform fee

Revenue distribution occurs after processing fees, platform fees, and any applicable financing payments.

6. Studio Purchase and Financing

Zenova Focus studios may be purchased by hosts.

Typical studio price:

$15,000

Zenova may offer a financing option including:

• $5,000 down payment
• 0% interest financing
• remaining balance paid through scheduled payments

Financing terms may vary depending on program availability.

During financing, the studio remains part of the Zenova Focus program until the balance is paid.

7. Payment Processing and Revenue Distribution

All bookings are processed through the Zenova Focus payment system.

Zenova collects booking payments and distributes host earnings according to the revenue share structure.

If the host is participating in a financing plan, scheduled payments may be deducted from booking revenue before host payout.

Hosts are responsible for any applicable taxes related to income received.

8. Late Payments and Account Status

If required payments are not made according to the financing agreement:

• late fees may apply
• account status may be reviewed

If payments remain unpaid for an extended period (typically 90 days), Zenova may initiate the Studio Recovery or Transfer Process described below.

9. Host Protection Program

Zenova Focus provides an optional Host Protection structure.

If after 6–12 months the studio averages below $1,500 per month for three consecutive months, hosts may request program review.

Zenova may assist with:

• transferring the studio to a new host location
• offering a buyback settlement based on earnings received

Example calculation:

Studio price: $15,000
Host earnings: $5,000
Buyback value: $10,000

Final decisions regarding buyback or transfer are determined by Zenova Focus.

10. Studio Recovery or Host Transfer

If a host stops participating or fails to meet program obligations, Zenova may initiate a studio transfer or recovery process.

Options may include:

• relocating the studio to a new host location
• transferring the studio to another qualified host
• negotiating a buyback settlement

The goal of this process is to maintain the Zenova Focus network while providing flexibility for hosts.

11. Studio Usage

Zenova Focus studios are designed for short-term productivity sessions, including:

• studying
• remote work
• online meetings
• podcast recording

Studios are not intended for:

• overnight stays
• residential use
• unauthorized activities

Zenova reserves the right to enforce usage rules to protect the network.

12. Marketing and Platform Operations

Zenova Focus may promote studios through:

• online advertising
• student outreach
• digital marketing
• platform listings

Zenova does not guarantee a specific number of bookings or income levels.

Studio performance may vary depending on location and demand.

13. Limitation of Liability

Zenova Focus provides the platform connecting customers with studio locations.

Hosts remain responsible for maintaining the safety and accessibility of their property.

Zenova is not liable for indirect damages related to studio usage or booking performance.

14. Changes to Program Terms

Zenova Focus may update these Terms and Policies as the platform evolves.

Hosts will be notified of significant program updates.

Continued participation in the program indicates acceptance of updated terms.
