Zenova Focus Study Pod Participation

Terms & Participation Policy

These terms outline the structure and conditions of participation for individuals reserving a Zenova Focus Study Pod or Garden Study Studio.

By completing a reservation or participation payment, the participant agrees to the following terms.


1. Participation Structure

Zenova Focus offers a participation opportunity where individuals support the deployment of study pods inside Zenova Focus study centers located near university campuses.

Each participation amount contributes toward the manufacturing and deployment of a Zenova Focus productivity pod within the network.

Participants receive revenue participation generated from pod usage according to the structure described below.

Participation is not structured as a loan or equity investment, but as a revenue participation agreement tied to a specific productivity pod within the Zenova Focus network.


2. Dedicated Pod Allocation

Each participation is associated with a specific Zenova Focus study pod deployed within the network.

During the participation period, that pod generates revenue through reservations made by students and remote professionals using the Zenova Focus platform.

Revenue participation is tied to the performance of the Zenova Focus network and its operating study centers.

Participants do not take physical possession of the pod, as the pod operates within Zenova Focus managed facilities.


3. Participation Amount

Participation options may include, but are not limited to:

• $5,000 — Mini Study Pod
• $7,500 — Standard Study Pod
• $14,999 — Garden Study Studio

Participants may reserve a pod with a deposit or complete full participation payment, depending on the reservation option selected.

Deposits secure a place in the early production queue.


4. Revenue Participation

Once a pod becomes operational and begins receiving reservations, it generates revenue from users reserving the workspace.

Participants receive a share of net operating revenue generated by the pod.

Revenue participation is structured in two phases.


Phase 1 — Capital Recovery

Until the participant has received the full return of their initial participation amount:

Participant receives 70% of net pod revenue
Zenova receives 30% of net pod revenue

This phase continues until the participant has received the full return of the original participation amount.

Estimated recovery timelines may vary depending on pod usage and location.


Phase 2 — Profit Participation

After the initial participation amount has been fully returned:

Participant receives 30% of net pod revenue
Zenova receives 70% of net pod revenue

This phase continues until the participant has received a total payout equal to 2× the original participation amount.

Example:

Participation amount: $5,000
Total payout limit: $10,000


5. Completion of Participation

Participation concludes once the participant has received the full 2× payout based on the original participation amount.

After the participation period concludes:

• Zenova retains full ownership of the pod
• Zenova retains 100% of future revenue generated by that pod

The participation agreement is then considered fulfilled.


6. Revenue Distribution Schedule

Revenue distributions are issued quarterly.

Payments are calculated based on the net operating revenue generated by the Zenova Focus pod during the previous quarter.

Distribution reports may include summary information regarding pod performance and usage.


7. Fully Managed Operations

Zenova manages all operational aspects of the Zenova Focus network including:

• pod manufacturing and deployment
• study center operations
• booking platform
• marketing and student outreach
• payment processing
• maintenance and upkeep
• customer support

Participants are not responsible for operational management.


8. Production & Deployment Timeline

Pods are manufactured and deployed in production batches.

Production typically begins once sufficient reservations have been secured for a batch.

Estimated deployment timelines may vary depending on manufacturing schedules, site preparation, and operational readiness of study center locations.


9. Deposit & Reservation Policy

Reservation deposits secure a place in the early production queue.

Deposits may be applied toward the total participation amount when the pod enters the production phase.

Specific refund policies may be described at the time of reservation.


10. Performance Disclaimer

Revenue projections or performance illustrations provided by Zenova are examples for informational purposes only.

Actual revenue generated by a pod may vary based on:

• location
• student demand
• reservation volume
• operational factors

Zenova does not guarantee specific financial returns.


11. Modifications

Zenova reserves the right to update or modify participation structures, operational models, and deployment strategies as the Zenova Focus network expands.

Participants will continue to receive revenue participation based on the agreed participation terms.
