These Terms & Policies (“Agreement”) govern participation in the Zenova Growth Lane Program (“Program”), operated by Zenova (“Company,” “Zenova,” “we,” “us”).

By applying for, activating, or participating in the Zenova Growth Lane Program, you (“Agent,” “Participant”) acknowledge that you have read, understand, and agree to the terms below.

1. PROGRAM OVERVIEW

Zenova Growth Lane is a performance-based agent participation program that allows real estate agents to introduce homeowners to Zenova Flex Space, a non-permanent, trailer-based private room solution.

This Program is:

❌ Not a real estate listing

❌ Not equity or ownership

❌ Not a passive income program

❌ Not a security, investment contract, or guarantee

✅ A performance-based participation opportunity tied to delivered units

Zenova retains full ownership, control, pricing authority, and operational discretion over Zenova Flex Space.

2. PARTICIPATION LANES

2.1 Lane 1 — Affiliate Agent (No Cost)

Affiliate Agents participate with no upfront fee and earn compensation only when units are successfully delivered.

Compensation:

$1,000 per delivered Zenova Flex Space unit

+$1,000 bonus for every 5 delivered units

Affiliate participation is non-exclusive, performance-based, and subject to these Terms.

2.2 Lane 2 — Growth Lane Partner (Phase 1 · Limited)

Growth Lane Partner participation is limited-availability and requires an activation payment.

Activation

One-time participation activation: $5,000

Activation grants access to Growth Lane Partner terms only during the defined Phase 1 window

This activation fee is not equity, not refundable except as defined below, and not a guarantee of earnings.

3. GROWTH LANE PARTNER COMPENSATION STRUCTURE

3.1 Revenue Share

Growth Lane Partners are eligible to receive:

50% of Zenova’s net margin

On each Zenova Flex Space unit personally originated by the Partner

Net margin is calculated as:

Gross unit revenue minus direct fulfillment costs, logistics, materials, labor, delivery, and any unit-specific or agreed costs incurred by Zenova.

Zenova retains sole discretion in defining and calculating applicable costs in good faith.

3.2 Caps & Time Limits

Growth Lane Partner terms are capped as follows:

Applies to the first 10 units originated

Valid for up to 6 months from activation

Whichever occurs first

After this window:

Participation automatically converts to Affiliate Agent terms, or

A new structure may be negotiated at Zenova’s sole discretion

No continuation is implied or guaranteed.

4. ORIGINATION & CREDITING RULES

4.1 Origination Definition

A unit is considered “originated” by an Agent if:

The Agent introduces the client

The client completes reservation using the Agent’s unique tracking link

Zenova verifies the origination internally

Zenova’s tracking system is the sole source of truth for origination credit.

4.2 No Gatekeeping

Agents:

Do not collect payments from clients

Do not set pricing

Do not alter Zenova terms

Do not represent Zenova outside approved messaging

All client reservations occur through official Zenova checkout pages.

5. PAYMENT & PAYOUT TERMS

Compensation is tied only to delivered units

No payout is earned on reservations, deposits, or undelivered units

Payouts are issued after delivery confirmation

Zenova may delay payouts for verification, disputes, or compliance review

No minimum earnings are guaranteed.

6. PHASE 1 DELIVERY PROTECTION (GROWTH LANE ONLY)

To reduce early-stage delivery risk, Growth Lane Partners receive the following protection for unused unit credits only:

If Zenova is unable to deliver a unit within 9 months of a qualified client reservation, the Partner may choose one of the following options:

Convert the unused unit credit to a future production slot

Transfer the unused unit credit to another eligible agent or region

Request a full refund for the unused unit credit

This protection:

Applies only to unused credits

Does not apply to units already delivered

Is subject to verification and written confirmation

7. AGENT RESPONSIBILITIES & CONDUCT

Agents agree to:

Represent Zenova honestly and professionally

Use only approved materials and messaging

Avoid misleading claims, guarantees, or legal interpretations

Comply with all local real estate, advertising, and professional regulations

Agents may not:

Represent Zenova as an investment

Promise income or delivery timelines

Modify pricing or terms

Misrepresent zoning, permitting, or legal requirements

8. NO EXCLUSIVITY / TERRITORY

Participation is non-exclusive unless explicitly agreed in writing.

Zenova may:

Work with multiple agents in the same region

Adjust partner caps to avoid conflicts

Decline or revoke participation at its discretion

9. TERMINATION

Zenova may suspend or terminate participation if:

Terms are violated

Brand harm occurs

Misrepresentation is identified

Fraud, abuse, or unethical conduct is suspected

Upon termination:

Earned payouts for delivered units remain payable

No future participation rights are implied

10. NO EMPLOYMENT RELATIONSHIP

Participation does not create:

Employment

Partnership

Joint venture

Fiduciary relationship

Agents act as independent participants.

11. MODIFICATIONS

Zenova may update these Terms periodically.

Material changes will:

Apply prospectively

Be communicated in writing

Not retroactively reduce earned compensation

12. GOVERNING LAW

This Agreement is governed by the laws of the state in which Zenova is registered, without regard to conflict-of-law principles.

13. ACKNOWLEDGMENT

By participating, the Agent acknowledges:

This is performance-based

Results are not guaranteed

This is not equity or passive income

Participation is limited and revocable
